Introduction As businesses
are priced to the market, we must define "cash flow." We use the term Seller's Discretionary
Cash, (SDC) to discuss a business' true cash flow. Our researchers
analyze and reconstruct Federal Tax Returns and Accounting Records, where
available, and "add back" all discretionary expenses and
unrealistic deductions under the tax code. For example, we
add back owner's compensation, insurances, charitable contributions, cost of
financing, excess depreciation, and other expenses allowed by the tax code
but not necessary to the running of the business.
Pro Formas Occasionally,
available tax and accounting information are inadequate to portray actual
business activity. In these rare cases, our researchers will construct a
reasonable PRO FORMA, or estimate of operations. When this is
done, all financial information will be labeled, "PRO FORMA." The
due diligence portion of the buying process is even more important where such
estimates are presented. Corporate Buyers We also work closely
